Terms of Service
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you and Nyx Collective LLC governing your use of the NyxCodex clinical training platform and all associated services ("Platform").
2. Description of Service
NyxCodex provides an AI-powered clinical training and simulation platform for psychiatric healthcare professionals. The Platform is designed exclusively for educational and training purposes. It is not a clinical decision-support tool and must not be used to guide actual patient care decisions.
3. Accounts & Subscriptions
- Subscriptions are billed monthly and renew automatically until cancelled.
- Seat limits apply per plan tier. Exceeding seat limits requires a plan upgrade.
- The account administrator is responsible for managing user access within their organization.
- You are responsible for maintaining the confidentiality of all account credentials.
4. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose.
- Share login credentials between multiple users.
- Reverse engineer, decompile, or extract source code from the Platform.
- Use the Platform to store, transmit, or process Protected Health Information (PHI) as defined by HIPAA.
- Resell or sublicense access without written permission.
5. Healthcare Compliance
NyxCodex is a training tool and does not constitute the practice of medicine or nursing. Do not enter any patient information or Protected Health Information into the Platform.
6. Intellectual Property
All content, software, and trademarks are owned by or licensed to Nyx Collective LLC. You receive a limited, non-exclusive license to use the Platform for internal training during your subscription term.
7. Payment & Cancellation
Fees are charged monthly in advance. All fees are non-refundable except as required by law. Cancellation takes effect at the end of the current billing period.
8. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. NYXCODEX DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NYX COLLECTIVE LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM USE OF THE PLATFORM.
10. Changes to These Terms
We may update these Terms. Material changes will be communicated by updating the date above. Continued use constitutes acceptance.
